Terms of Service & EULA

1. Parties & Nature of Software License

This End User License Agreement (“Agreement”) is entered into between you (“User” or “You”) and The Thorium Project (“Project”, “We”, or “Developers”), an independent developer collective.

Thorium is an independent software analysis utility, debug environment, and script compiler designed solely for educational research, runtime environment testing, and anti-cheat vulnerability assessment within experiences and places owned or authorized by the user.

Subject to compliance with these Terms, you are granted a limited, personal, non-exclusive, non-transferable, revocable license to execute the client utility. You may not sell, sublicense, or distribute the client for commercial gain.

2. Non-Affiliation & Trademark Disclaimers

Thorium is an entirely independent software project and is not affiliated with, endorsed by, sponsored by, or associated with Roblox Corporation, Microsoft Corporation, or any of their respective affiliates. All platform names, registered trademarks, logos, and service marks referenced remain the intellectual property of their respective owners.

3. User Representations, Third-Party Rules & Indemnification

You represent and warrant that your use of Thorium will strictly respect third-party platform guidelines, including the Roblox Terms of Use. Utilizing execution tools against experiences you do not own may result in platform penalties or moderation.

Indemnification: You agree to defend, indemnify, and hold harmless the Developers, contributors, infrastructure providers, and operators of Thorium from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorney fees) arising from:

• Execution within third-party multiplayer games or servers without the express authorization of the experience owner;
• Violation of third-party intellectual property, privacy rights, or platform rules (including the Roblox Terms of Use);
• Deployment, propagation, or execution of malicious payloads, denial-of-service, or unauthorized data interception scripts;
• Any breach of your representations or warranties set forth in this Agreement.

4. Disclaimer of Warranties (“AS IS”)

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THORIUM IS PROVIDED STRICTLY “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, CRASH-RESILIENCE, OR UNINTERRUPTED EXECUTION.

5. Limitation of Liability & Assumption of Risk

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AUTHORS, DEVELOPERS, OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, ACCOUNT MODERATION, BANS, HARDWARE DAMAGE, LOSS OF VIRTUAL ASSETS, OR OTHER LIABILITY ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE THEREOF.

Statutory Rights Carve-Out: NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT LIABILITY FOR INTENTIONAL MISCONDUCT, GROSS NEGLIGENCE, FRAUD, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR ANY OTHER LIABILITY WHICH CANNOT BE LAWFULLY EXCLUDED OR LIMITED UNDER APPLICABLE MANDATORY CONSUMER PROTECTION LAWS.

Subject to the foregoing, you voluntarily assume all operational risks, including potential moderation, loss of virtual items, or platform account terminations.

6. Dispute Resolution, UNCITRAL Arbitration & Class Action Waiver

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by final and binding arbitration in accordance with the UNCITRAL Arbitration Rules as presently in force:

• Seat of Arbitration: London, United Kingdom.
• Language: The arbitration proceedings shall be conducted exclusively in the English language.
• Number of Arbitrators: One (1) independent arbitrator appointed in accordance with the rules.
• Consumer Carve-Out: If mandatory consumer protection laws in your jurisdiction of residence (e.g. EU or Ukraine) render pre-dispute mandatory arbitration unenforceable, disputes may alternatively be submitted to the competent courts of your habitual residence.

Class Action Waiver: YOU AGREE THAT DISPUTES BETWEEN YOU AND THE PROJECT MUST BE RESOLVED ON AN INDIVIDUAL BASIS, AND YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING.

7. Governing Law & Severability

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter shall be governed by, and construed in accordance with, the substantive laws of England and Wales, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Severability: If any provision of these Terms is determined by an authoritative tribunal or arbitrator to be invalid, unlawful, or unenforceable, that specific provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

8. Modifications, Notice & Legal Inquiries

The Project reserves the right to amend these Terms to reflect technical updates, security standards, or regulatory changes. In the event of material modifications that alter your substantive rights or obligations:

• Notice: We will provide notice by updating the revision timestamp on this page and re-displaying the mandatory acceptance gate upon subsequent website access.
• Right to Discontinue: If you do not agree with the modified Terms, you must cease all access to and use of Thorium immediately.
• Affirmative Assent: Continued access or interaction with the software following the effective date of revised Terms constitutes affirmative acceptance of the updated Agreement.
